1. This B2B platform for eAuctions and webshop purchases is only open for HP Resellers and Partners following HP below mentioned Terms and Conditions. 2. By entering the B2B platform, Participants agree to abide by the following terms and conditions. 3. Submission of false, incorrect, misleading or fraudulent documentation or a failure to comply or a breach of these terms and conditions by Participant may result in disqualification from this and future purchases and other HP offerings and may result in the participant being subject to prosecution. 4. HP reserves the right to audit all [bids/purchases] to ensure that the terms and conditions of this B2B platform have been met and to request additional information or supporting documents relating to them. 5. HP reserves the right to amend or cancel the terms of this offer without notice. 6. HP accepts no responsibility for bids which have been lost, or are late or misdirected. 7. The Participant agrees to HP or other HP entities and/or their agents processing their data for the purposes of advising participants of other HP offerings, promotions, new products and services and future market and quality control analysis. 8. The decisions of HP in respect of any and all aspects of the promotion will be final and binding. 9. Participant agrees to co-operate with HP to maintain the reputation of HP brand, and to comply with any reasonable suggestions offered by HP for the stimulation of sales and support of customers. Nothing herein shall restrict Participants right to determine the resale price of the products. 10. Compliance with Laws Competition laws: Participants must comply with the applicable laws and regulations governing fair trading and competition. Anti-corruption laws: Participants must comply with the applicable anti-corruption laws prohibiting bribes, kickbacks, money laundering or other corrupt practices. Government sector sales rules: Participants must comply with the applicable laws and regulations relating to sales to government sector customers. International trade laws: Participants must comply with the applicable import and export laws and regulations, including customs and taxation. Advertising standards: Participants must comply with the applicable advertising standards and ensure that advertising and promotional materials are fair, factual and complete. Trademarks/Infringement: Participants must not engage in infringement of HP’s trademarks and other intellectual property rights, including trading in HP-branded products imported into the European Economic Area (EEA) or non-EEA member countries without HP’s express written consent. Participant agrees not to resell the Products outside the EU and EFTA, unless otherwise agreed. Approval must be requested from the HP office responsible for the territory where the Participant wishes to sell. Such approval will depend on, among other things, HP's sales and distribution strategy in the territory and the level of support that can be provided to SSP's customer for the Products. Participants will ensure that its customers also obtain HP's approval if they wish to resell Products outside the EU and EFTA. 11. Limitation of Liability - IN NO EVENT WILL HP, ITS SUPPLIERS, OR OTHER THIRD PARTIES MENTIONED AT THIS SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THIS SITE, ANY WEBSITES LINKED TO THIS SITE, OR THE MATERIALS OR INFORMATION OR SERVICES CONTAINED AT ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT HP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
